This Disclaimer (“Disclaimer”) applies to all services, software, AI agents, APIs, documentation, and content provided by Llewellyn Systems Inc (“Llewellyn Systems,” “we,” “us,” or “our”), a C Corporation incorporated in the State of Delaware and a subsidiary of Sound of Life Media, Inc. By accessing or using ODE Social Capital (the “Services”), you acknowledge and agree to this Disclaimer in its entirety.
1.1 General. Nothing contained in ODE Social Capital, including outputs from our AI compliance agents (ODE AI Agent, ODE AI Agent, ODE AI Agent, ODE AI Agent, ODE AI Agent, ODE AI Agent), constitutes investment advice, financial advice, trading advice, or any other sort of advice. You should not treat any of the platform's content or outputs as such.
1.2 No Broker-Dealer Relationship. Llewellyn Systems is not a registered broker-dealer, investment adviser, financial analyst, or financial planner. No fiduciary relationship is created between Llewellyn Systems and any user of the Services.
1.3 Professional Guidance. You should consult with a qualified financial professional, investment adviser, or legal counsel before making any investment, financial, or compliance-related decisions.
2.1 ESG Analytics. Any environmental, social, and governance (ESG) data, scores, metrics, or analytics provided through the Services are for informational purposes only. They do not constitute ESG ratings, certifications, or endorsements of any kind.
2.2 No ESG Certification. Llewellyn Systems is not an ESG rating agency and does not provide ESG certifications. Any ESG-related outputs are derived from AI-driven analysis and may not reflect complete or current conditions. Users must independently verify ESG data before relying on it for compliance, reporting, or investment decisions.
3.1 Informational Only. Our AI agents provide analytics, pattern detection, risk scoring, and compliance automation outputs for informational and operational purposes only. These outputs do not constitute investment recommendations, regulatory determinations, or legal conclusions.
3.2 No Guarantee of Accuracy. While our AI agents employ sophisticated machine learning models, their outputs may contain errors, omissions, or inaccuracies. AI-generated analytics should be reviewed and validated by qualified professionals before any action is taken.

4.1 Use at Your Own Risk. Your use of the Services and reliance on any information, analytics, or outputs provided therein is solely at your own risk. Llewellyn Systems shall not be held liable for any losses, damages, or harm arising from your use of or reliance on the Services.
4.2 Third-Party Data. The Services may incorporate or display data from third-party sources. Llewellyn Systems makes no representations or warranties regarding the accuracy, completeness, or reliability of third-party data and shall not be liable for any errors or omissions therein.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LLEWELLYN SYSTEMS INC, ITS PARENT COMPANY SOUND OF LIFE MEDIA, INC., OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
IN NO EVENT SHALL LLEWELLYN SYSTEMS' TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO LLEWELLYN SYSTEMS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES WHETHER THE LIABILITY IS BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY.
This Disclaimer shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or relating to this Disclaimer shall be resolved through binding arbitration in Alameda County, California, in accordance with the rules of the American Arbitration Association. You agree to submit to the personal jurisdiction of the courts located in Alameda County, California for any actions not subject to arbitration.
