These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Llewellyn Systems Inc (“Llewellyn Systems,” “we,” “us,” or “our”) governing your access to and use of ODE Social Capital, including the AI compliance agents, regulatory automation tools, compliance dashboards, all associated software, APIs, documentation, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1. Definitions

“AI Agents” means the specialized compliance agents operated as part of ODE Social Capital: ODE AI Agent, ODE AI Agent, ODE AI Agent, ODE AI Agent, ODE AI Agent, and ODE AI Agent.
“Customer Data” means all data submitted to the Services including compliance configurations, regulatory mappings, and audit evidence.
“Financial Data” means customer financial records, transaction data, KYC documents, and other regulated financial information processed by the AI Agents within your security perimeter.

2. Subscription Terms

2.1 Tiers. ODE Social Capital is available in three subscription tiers: Starter (2 agents, $2,000/mo), Professional (4 agents, $5,000/mo), and Enterprise (6 agents, $10,000/mo). Features and agent availability vary by tier.

2.2 Regulatory Compliance. The Services are designed to assist with compliance automation. They do not constitute legal advice and do not guarantee regulatory compliance. Customer remains responsible for their compliance obligations.

2.3 Data Handling. Customer financial data is processed within your security perimeter. Llewellyn Systems does not store or have access to your customers' financial records, transaction data, or PII unless explicitly configured.

3.1 Not Legal Advice. ODE Social Capital provides compliance automation tools. Our AI agents' outputs do not constitute legal, regulatory, or financial advice. Consult qualified professionals for regulatory guidance.

3.2 AS IS. THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LLEWELLYN SYSTEMS' TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL LLEWELLYN SYSTEMS BE LIABLE FOR REGULATORY FINES, PENALTIES, OR ENFORCEMENT ACTIONS RESULTING FROM CUSTOMER'S COMPLIANCE DECISIONS.

5. Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved through binding arbitration in Alameda County, California.
